Sample Board Accountability Statment

It is suggested a statement like this forms part of your board induction pack. The statement is designed to form the basis of an annual board self-review of performance.

Standard
1. Set strategic directions and long-term business plans and monitor the organisation's progress against them1.1 Organisation meets strategic goals
2. Monitor financial management of organisation and approve budget2.1 Satisfactory performance of company against budget
3. Effective risk management 3.1 Attend board meetings and read/listen to board papers and reports

3.2 Board meetings are quorate (you have a quorum)

3.3 Remain briefed on internal/external risk environments and take action where necessary

3.4 Identify 'trouble spots' in annual statement of audit and take action if necessary
4. Ensure organisation is compliant with its legal requirements 4.1 New members have read and understood: Board induction pack; ASIC or ACT Registrar-General requirements of board members

4.2 New and continuing members have kept aware of any changes in legal and reporting requirements for the organisation. Board has sought legal advice when necessary

4.3 Accurate minutes of all board meetings, approved by board and signed by Chair
5. Attend board meetings and take an active part in them 5.1 Attendance at 80% meetings (min.)

5.2 No unexplained absences at board meetings (More than 2 such absences result in immediate dismissal)

5.3 Board papers read prior to attending board meetings
6. Recruit suitable board members and keep board numbers stable6.1 Number of board members does not drop below agreed 'healthy' level
7. Provide support and advice to staff (optional)7.1 Provide as necessary
8. Approve and monitor HR policy and procedure8.1 Become and remain familiar with employment conditions of organisation, staff contract and Award arrangements
9. Recruit Executive Officer9.1 As necessary
10. Deal with disputes and conflicts referred to the board10.1 Successful resolution of any dispute and conflicts referred
11. Represent the organisation in a positive, appropriate manner 11.1 As reviewed at end of each year by rest of board
